1. Introduction and Legal Agreement

These Terms and Conditions ("Agreement") constitute a legally binding contract between you ("User," "you," or "your") and Higher Self Online, LLC, a California limited liability company owned by Dima Gornovskyi ("Company," "we," "us," or "our"). This Agreement governs your access to and use of our audio, video, visual and text content, online courses, digital products, educational materials, and related services (collectively, the "School").

The School provides educational content and services related to Reiki, energy healing, self-help, mindset, and productivity. You expressly acknowledge and agree that nothing contained within the School constitutes medical advice, therapy, treatment, or healthcare services. The Company makes no representations or warranties regarding specific outcomes or results from using or implementing the teachings provided through the School.

This Agreement applies to all Users of the School, including but not limited to visitors, registered members, and enrolled students. By accessing or using any part of the School, you expressly represent and warrant that: (a) you are at least 18 years of age; (b) you possess the legal capacity to enter into this binding Agreement; (c) you agree to comply with all terms and conditions contained herein; and (d) your use of the School will not violate any applicable laws, regulations, or third-party rights.

YOUR ACCESS TO AND USE OF THE SCHOOL IS EXPRESSLY CONDITIONED UPON YOUR ACCEPTANCE OF THIS AGREEMENT AND OUR PRIVACY POLICY, WHICH IS INCORPORATED HEREIN BY REFERENCE. IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST IMMEDIATELY CEASE USING THE SCHOOL AND ALL ASSOCIATED SERVICES.

The Company reserves the right, in its sole and absolute discretion, to modify or update this Agreement at any time without prior notice. Any such modifications shall become effective immediately upon posting on our website. Your continued use of the School following the posting of any modifications constitutes your acceptance of such modifications to this Agreement.

2. Eligibility & User Accounts

To access or use the School, you must be at least eighteen (18) years of age and possess the legal capacity to enter into this binding Agreement. If you are under 18 years of age, you may not, under any circumstances, access or use the School. By accessing or using the School, you expressly represent and warrant that you meet these eligibility requirements.

When creating an account with the School, you agree to:

Provide accurate, current, and complete information during the registration process;
Maintain and promptly update your account information to keep it accurate, current, and complete;
Maintain the security and confidentiality of your login credentials and any other information related to your account;
Accept full responsibility for all activities that occur under your account; and
Notify the Company immediately of any unauthorized use of your account or any other breach of security.

You expressly agree that you will not:

Share, sell, transfer, or allow others to use your account credentials;
Create more than one account without our express written permission;
Use another user's account without permission; or
Provide false or misleading information when creating or using an account.

The Company reserves the right, in its sole discretion, to suspend, terminate, or restrict access to any account that violates these terms or that the Company reasonably believes may be associated with fraudulent or unauthorized use. Any suspected fraudulent, abusive, or illegal activity may be grounds for account termination and may be referred to appropriate law enforcement authorities.

3. Course Enrollment, Access & Participation

By enrolling in any course offered through the School, you agree to the following terms and conditions regarding enrollment, access, and participation:

3.1. Course Enrollment: To enroll in any course within the School, you must: (a) Complete the registration process through our designated platform; (b) Pay the applicable course fees in full or agree to an approved payment plan; (c) Accept these Terms and Conditions and our Privacy Policy; and (d) Meet any additional prerequisites specified for the particular course.

3.2. Access Duration: Unless explicitly stated otherwise at the time of purchase: (a) Course access is granted for the lifetime of the School; (b) The Company reserves the right to modify the access duration with 30 days' notice; (c) Access may be terminated if these Terms and Conditions are violated.

3.3. Course Updates and Modifications: (a) The Company may update, modify, or enhance course content at its discretion; (b) Existing students will receive access to minor updates at no additional cost; (c) Major course revisions or new versions may require separate purchase; (d) The Company reserves the right to determine what constitutes a minor update versus a major revision.

3.4. Account Security and Access: (a) You are responsible for maintaining the confidentiality of your login credentials; (b) Your account is personal and non-transferable; (c) You must notify the Company immediately of any unauthorized access; (d) You agree to implement reasonable security measures when accessing your account.

3.5. Participation Guidelines: (a) You agree to participate in all course activities respectfully and professionally; (b) When participating in forums, live sessions, or interactive features, you will:

Respect other participants and instructors;
Maintain confidentiality of other participants' information;
Refrain from harassment, discrimination, or disruptive behavior;
Follow any additional guidelines provided for specific course activities.

3.6. Company Rights: The Company reserves the right to: (a) Modify, suspend, or discontinue any aspect of the School at any time; (b) Restrict or terminate access to any user violating these terms; (c) Make technical modifications to facilitate service delivery; (d) Monitor user activity to ensure compliance with these terms.

4. Payments, Pricing & Refund Policy

4.1. Payment Terms: (a) All fees are quoted and payable in United States Dollars (USD); (b) Payment is required in full at the time of enrollment unless a payment plan has been explicitly agreed upon; (c) We accept payment via major credit cards, PayPal, and other payment methods as specified during checkout; (d) For payment plans, you authorize recurring charges to your payment method according to the agreed schedule.

4.2. Pricing: (a) All prices are subject to change without notice; (b) Published prices are exclusive of any applicable taxes, which will be added at checkout; (c) Special offers and discounts may be available at our discretion; (d) The Company reserves the right to modify pricing for future enrollments at any time.

4.3. Refund Policy: (a) All purchases are final and non-refundable unless otherwise specified at the time of purchase; (b) Refund requests, if eligible, must be submitted in writing to [email protected]; (c) The Company may, at its sole discretion, consider refund requests in exceptional circumstances; (d) Any refunds granted will be processed using the original payment method.

4.4. Payment Plans: (a) Payment plans, if offered, require acceptance of additional terms specified at checkout; (b) Failure to make scheduled payments may result in:

Immediate suspension of access to the School
Acceleration of remaining balance due
Collection proceedings
Additional late fees or penalties as permitted by law

4.5. Subscription Services: (a) Where applicable, subscription-based services will automatically renew unless cancelled; (b) You may cancel automatic renewal at any time through your account settings; (c) Cancellation will take effect at the end of the current billing period; (d) No partial refunds will be issued for unused portions of a subscription period.

4.6. Currency and Processing: (a) All transactions are processed in USD through secure payment processors; (b) International transactions may incur additional fees from your financial institution; (c) You are responsible for any currency conversion fees or foreign transaction charges.

5. No Medical Claims, Warranties, or Guarantees

The School and all associated content, including but not limited to Reiki teachings, energy healing practices, self-help methodologies, mindset training, and productivity techniques (collectively, the "Content"), are provided for educational and informational purposes only. You expressly acknowledge and agree that:

The Content is not intended to diagnose, treat, cure, or prevent any medical condition or disease;
The School's teachings, particularly those related to Reiki and energy healing, are intended for personal development and spiritual growth only, and are not substitutes for professional medical treatment, therapy, or healthcare services;
No representations or warranties are made regarding any specific healing, spiritual, financial, or health-related outcomes from using the School's Content;
Results from implementing the School's teachings and practices may vary significantly among users, and no specific outcomes are guaranteed;

Higher Self Online, LLC ("Company"), its owner Dima Gornovskyi, employees, contractors, and representatives have made every effort to ensure the accuracy and quality of the Content provided through the School. However, the Company explicitly disclaims any guarantees regarding:

The accuracy, completeness, or currency of any Content;
The effectiveness of any techniques, practices, or methodologies taught;
The achievement of any specific personal, professional, or spiritual outcomes;
The applicability or suitability of the Content for any particular user's circumstances.

By accessing and using the School, you expressly agree to:

Accept full responsibility for your decisions and actions in implementing any teachings or practices;
Exercise independent judgment and due diligence before applying any Content to your personal situation;
Acknowledge that your results will depend on various factors including but not limited to your effort, dedication, circumstances, and other variables beyond the Company's control;
Release the Company from any liability resulting from your use or non-use of the School's Content.

You further acknowledge that testimonials, case studies, or examples of other users' results do not constitute guarantees of similar outcomes for you or any other user of the School.

6. Intellectual Property Rights and Acceptable Use

6.1. Ownership and Protection of Content

All content, materials, and intellectual property provided through the School, including but not limited to audio recordings, videos, text content, graphics, logos, course materials, digital products, training methodologies, and teaching materials related to Reiki, energy healing, self-help, mindset, and productivity (collectively, the "Content") are the exclusive property of Higher Self Online, LLC ("Company") or its licensors.

The Content is protected by United States and international copyright, trademark, and other intellectual property laws. The Company name, logo, and all related marks are registered or unregistered trademarks of Higher Self Online, LLC.

6.2. Limited License

Upon enrollment, you are granted a limited, non-exclusive, non-transferable, revocable license to access and use the School and its Content solely for your personal, non-commercial use in accordance with these Terms. This license is conditional upon your compliance with these Terms and does not include any right to:

Copy, reproduce, distribute, or publicly display any Content;

Monetary damages and injunctive relief;
Recovery of legal costs and attorney's fees.

All rights not expressly granted herein are reserved by Higher Self Online, LLC. Nothing in these Terms shall be construed as granting any implied licenses or rights to any intellectual property of the Company.

7. User Conduct & Prohibited Activities

7.1. General Code of Conduct

When participating in any aspect of the School, including but not limited to private groups, online forums, live calls, comment sections, or any other interactive features, you agree to:

Maintain a respectful, professional, and constructive attitude towards other participants, instructors, and staff;
Protect the confidentiality of other participants' personal information and experiences shared during sessions;
Use the School's resources and materials solely for your personal development and learning;
Comply with all reasonable instructions from course instructors and moderators.

7.2. Prohibited Activities

You expressly agree not to engage in any of the following prohibited activities:

Harassment, bullying, discrimination, or intimidation of any kind based on race, religion, gender, sexual orientation, age, disability, or any other protected characteristic;
Posting, sharing, or transmitting content that is hateful, defamatory, obscene, pornographic, or promotes violence;
Spamming, including excessive self-promotion or unauthorized commercial solicitation;
Impersonating another person or entity, including Company staff or instructors;
Attempting to sell, share, or distribute School materials without explicit written permission from Higher Self Online, LLC;
Making false or misleading statements about the School, its courses, or potential outcomes;
Interfering with or disrupting the learning experience of other participants.

7.3. Enforcement and Consequences

Higher Self Online, LLC reserves the right to:

Monitor and review all user activity within the School;
Remove any content that violates these terms or is otherwise inappropriate;
Suspend or terminate access to the School without refund for violations of these conduct standards;
Report serious violations to appropriate authorities when legally required or deemed necessary;
Take any other action we deem appropriate to maintain the integrity and safety of our learning environment.

Clear opt-out instructions are provided in every marketing email
Opt-out requests are processed within 10 business days

The School includes, but is not limited to, audio recordings, videos, visual content, text materials, online courses, and digital products related to Reiki, energy healing, self-help, mindset, and productivity.

9.1. Medical and Health Disclaimer

The School's content, including Reiki and energy healing teachings, is intended for personal wellness only and is not a substitute for professional medical diagnosis, treatment, or advice;
No content within the School should be interpreted as medical or healthcare recommendations;
Users should always consult qualified healthcare providers for medical conditions.

9.2. Financial and Legal Disclaimer

The School does not provide financial, legal, tax, or professional advice of any kind;
Any business, financial, or legal strategies discussed are for educational purposes only;

The Company makes no warranties or representations regarding the accuracy, effectiveness, or applicability of the School's content;
Results from using the School's teachings may vary significantly among users;
The Company expressly disclaims all warranties, express or implied, including warranties of merchantability and fitness for a particular purpose;
Users acknowledge that their success depends on various factors including personal effort, dedication, and circumstances beyond the Company's control.

10. Limitation of Liability

To the maximum extent permitted by California law, Higher Self Online, LLC ("Company") shall not be liable for any damages, losses, or injuries arising from:

Use of or inability to access the School or its content
Reliance on information provided through the School
Technical malfunctions, interruptions, or security breaches
Errors or inaccuracies in the School's content

10.2. Scope of Limitation

This limitation applies to all types of damages, including but not limited to:

11. Indemnification

11.1. Scope of Indemnification

You agree to indemnify, defend, and hold harmless Higher Self Online, LLC ("Company"), its owner Dima Gornovskyi, officers, employees, agents, and representatives from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from or relating to:

Your use of or access to the School (including all audio recordings, videos, visual content, text materials, online courses, and digital products related to Reiki, energy healing, self-help, mindset, and productivity);
Any content or materials you post, share, or transmit through the School;
Your violation of these Terms and Conditions or any applicable laws;
Your violation of any third-party rights, including intellectual property or privacy rights;
Any claims arising from your misuse or unauthorized use of the School's content or services.

11.2. Company's Rights

The Company reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you. In such case, you agree to fully cooperate with the Company in asserting any available defenses and providing any necessary information or assistance.

11.3. Survival

This indemnification obligation shall survive the termination of your access to the School and your use of our services. This provision shall be governed by and construed in accordance with the laws of the State of California.

12. Termination of Services

12.1. Termination Rights

Higher Self Online, LLC ("Company") reserves the right, in its sole discretion, to:

Suspend or terminate your access to the School (including all audio recordings, videos, visual content, text materials, online courses, and digital products related to Reiki, energy healing, self-help, mindset, and productivity);
Remove or disable any content within the School;
Take any other appropriate action if you violate these Terms and Conditions or engage in any conduct that the Company deems inappropriate or harmful to the School or its users.

12.2. Termination Process

The Company may terminate your access immediately and without prior notice for serious violations;
For less severe violations, the Company may provide a warning before taking action;
Upon termination, you will lose access to all School content and materials;
Any fees paid are non-refundable if termination results from your violation of these Terms.

12.3. Post-Termination

After termination, you may not attempt to re-register or access the School without explicit permission from the Company;
All provisions of these Terms that by their nature should survive termination shall remain in effect;
You remain liable for any obligations incurred prior to termination.

12.4. Appeals Process

If you believe your access was terminated in error, you may appeal the decision by:

Submitting a written appeal to the Company within 30 days of termination;
Providing a detailed explanation of why your access should be reinstated;
Including any relevant evidence supporting your appeal.

The Company will review appeals on a case-by-case basis and reserves the right to make final decisions regarding reinstatement.

13. Governing Law & Dispute Resolution

13.1. Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law principles. The parties agree that the United Nations Convention on Contracts for the International Sale of Goods does not apply to this agreement.

13.2. Jurisdiction

Any legal action or proceeding arising out of or relating to these Terms and Conditions or the School shall be instituted exclusively in the federal courts of the United States or the courts of the State of California, in each case located in the City and County of Los Angeles. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

13.3. Dispute Resolution Process

All disputes shall first be attempted to be resolved through informal negotiations between the parties for a period of at least thirty (30) days;
If informal negotiations fail, the parties agree to participate in mediation in Los Angeles, California, with a mutually agreed-upon mediator;
If mediation is unsuccessful, any remaining disputes shall be resolved through binding arbitration under the rules of the American Arbitration Association (AAA) in Los Angeles, California;
The arbitration shall be conducted by a single arbitrator selected by mutual agreement or, failing that, appointed by the AAA.

13.4. Arbitration Provisions

The arbitration shall be conducted in English. The arbitrator's decision shall be final and binding on both parties and may be entered as a judgment in any court of competent jurisdiction. The costs of arbitration shall be shared equally by the parties unless the arbitrator determines otherwise.

13.5. Small Claims Exception

Notwithstanding the foregoing, either party may bring an individual action in small claims court for disputes or claims within the scope of that court's jurisdiction.

13.6. Class Action Waiver

You agree to resolve any disputes with Higher Self Online, LLC on an individual basis and waive any right to participate in a class action, consolidated, or representative proceeding.

14. Affiliate & Referral Program Terms

14.1. Program Overview

Higher Self Online, LLC ("Company") may offer an affiliate or referral program for promoting the School's content. Participation in such programs is subject to additional terms and conditions that will be provided separately.

14.2. Affiliate Obligations

Affiliates must accurately represent the School's content and services in all promotional materials;
All marketing materials must comply with Federal Trade Commission guidelines regarding endorsements and testimonials;
Affiliates must clearly disclose their affiliate relationship with the Company in all promotional content;
Any misrepresentation of the School's content or services may result in immediate termination from the program.

14.3. Commission Structure

The Company will establish and may modify:

Commission rates for qualified sales;
Tracking methods for referrals;
Payment thresholds and schedules;
Terms for commission eligibility and verification.

14.4. Prohibited Activities

Affiliates are strictly prohibited from:

Making medical, health, or therapeutic claims about the School's Reiki and energy healing content;
Promising specific results or outcomes from using the School's materials;
Using spam, fraudulent methods, or deceptive practices to promote the School;
Violating any applicable laws or regulations in their promotional activities.

14.5. Program Termination

The Company reserves the right to modify, suspend, or terminate the affiliate program or individual affiliate relationships at any time, with or without cause or notice. Any earned but unpaid commissions will be paid according to the regular payment schedule, provided the affiliate has complied with all program terms.

15. External Links & Third-Party Services

15.1. External Links

The School may contain links to third-party websites, resources, or services that are not owned or controlled by Higher Self Online, LLC ("Company"). These links are provided solely for your convenience and information.

15.2. No Endorsement

The Company does not endorse, guarantee, or assume responsibility for any:

Content, advertising, products, services, or materials on third-party websites;
Links contained in third-party websites;
Changes or updates to third-party websites.

15.3. Disclaimer of Liability

The Company expressly disclaims any liability arising from your:

Access to or use of third-party websites, services, or resources;
Reliance on any content, goods, or services available on or through such external sites;
Interactions or transactions with third parties found through the School.

15.4. Security and Privacy

When accessing third-party websites or services, you acknowledge that:

17.3. Rights and Removal

Remove any user-generated content that violates these Terms or community guidelines;
Suspend or terminate access for users who post inappropriate or harmful content;
Preserve content for legal compliance or enforcement purposes.

17.4. User Responsibility

Users are solely responsible for their own comments, submissions, and interactions within the School's community spaces. By participating in discussions or submitting content, users agree to indemnify and hold harmless the Company from any claims arising from their contributions.

17.5. Guest Content and Appearances

The following provisions apply to guest appearances and content:

Guests must agree to these Terms and Conditions before participating in any School content
Guests retain ownership of their original content while granting the School a license to use and distribute it
Guests must refrain from making medical claims, guarantees, or unauthorized endorsements
The School reserves the right to edit, modify, or remove guest content that violates these Terms
Guests agree to release the School from any claims related to the use of their content or likeness in accordance with these Terms
