1. Introduction and Legal Agreement

These Terms and Conditions ("Agreement") constitute a legally binding contract between you ("User," "you," or "your") and Higher Self Online, LLC, a California limited liability company owned by Dima Gornovskyi ("Company," "we," "us," or "our"). This Agreement applies to all Users of the School, including but not limited to visitors, registered members, and enrolled students. By accessing or using any part of the School, you expressly represent and warrant that: (a) you are at least 18 years of age; (b) you possess the legal capacity to enter into this binding Agreement; (c) you agree to comply with all terms and conditions contained herein; and (d) your use of the School will not violate any applicable laws, regulations, or third-party rights.

YOUR ACCESS TO AND USE OF THE SCHOOL IS EXPRESSLY CONDITIONED UPON YOUR ACCEPTANCE OF THIS AGREEMENT AND OUR PRIVACY POLICY, WHICH IS INCORPORATED HEREIN BY REFERENCE. IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST IMMEDIATELY CEASE USING THE SCHOOL AND ALL ASSOCIATED SERVICES.

The Company reserves the right, in its sole and absolute discretion, to modify or update this Agreement at any time without prior notice. Any such modifications shall become effective immediately upon posting on our website. Your continued use of the School following the posting of any modifications constitutes your acceptance of such modifications to this Agreement.

2. Eligibility & User Accounts

To access or use the School, you must be at least eighteen (18) years of age and possess the legal capacity to enter into this binding Agreement. If you are under 18 years of age, you may not, under any circumstances, access or use the School. By accessing or using the School, you expressly represent and warrant that you meet these eligibility requirements.

When creating an account with the School, you agree to:

  • Provide accurate, current, and complete information during the registration process;
  • Maintain and promptly update your account information to keep it accurate, current, and complete;
  • Maintain the security and confidentiality of your login credentials and any other information related to your account;

3. Course Enrollment, Access & Participation

3.2. Company Rights: The Company reserves the right to: (a) Modify, suspend, or discontinue any aspect of the School at any time; (b) Restrict or terminate access to any user violating these terms; (c) Make technical modifications to facilitate service delivery; (d) Monitor user activity to ensure compliance with these terms.

4. Payments, Pricing & Refund Policy

4.1. Payment Terms: (a) All fees are quoted and payable in United States Dollars (USD); (b) Payment is required in full at the time of enrollment unless a payment plan has been explicitly agreed upon; (c) We accept payment via major credit cards, PayPal, and other payment methods as specified during checkout; (d) For payment plans, you authorize recurring charges to your payment method according to the agreed schedule.

4.2. Pricing: (a) All prices are subject to change without notice; (b) Published prices are exclusive of any applicable taxes, which will be added at checkout; (c) Special offers and discounts may be available at our discretion; (d) The Company reserves the right to modify pricing for future enrollments at any time.

4.3.   • Results from implementing the School's teachings and practices may vary significantly among users, and no specific outcomes are guaranteed;

Higher Self Online, LLC ("Company"), its owner Dima Gornovskyi, employees, contractors, and representatives have made every effort to ensure the accuracy and quality of the Content provided through the School. However, the Company explicitly disclaims any guarantees regarding:

  • The accuracy, completeness, or currency of any Content;
  • The effectiveness of any techniques, practices, or methodologies taught;
  • The achievement of any specific personal, professional, or spiritual outcomes;
  • The applicability or suitability of the Content for any particular user's circumstances.

By accessing and using the School, you expressly agree to:

  • If informal negotiations fail, the parties agree to participate in mediation in Los Angeles, California, with a mutually agreed-upon mediator;
  • If mediation is unsuccessful, any remaining disputes shall be resolved through binding arbitration under the rules of the American Arbitration Association (AAA) in Los Angeles, California;
  • The arbitration shall be conducted by a single arbitrator selected by mutual agreement or, failing that, appointed by the AAA.

13.4. Arbitration Provisions

The arbitration shall be conducted in English. The arbitrator's decision shall be final and binding on both parties and may be entered as a judgment in any court of competent jurisdiction. The costs of arbitration shall be shared equally by the parties unless the arbitrator determines otherwise.

13.5. Small Claims Exception

Notwithstanding the foregoing, either party may bring an individual action in small claims court for disputes or claims within the scope of that court's jurisdiction.

13.6. Class Action Waiver

You agree to resolve any disputes with Higher Self Online, LLC on an individual basis and waive any right to participate in a class action, consolidated, or representative proceeding.

14. Affiliate & Referral Program Terms

14.1. Program Overview

Higher Self Online, LLC ("Company") may offer an affiliate or referral program for promoting the School's content. Participation in such programs is subject to additional terms and conditions that will be provided separately.

14.2. Affiliate Obligations

  • Affiliates must accurately represent the School's content and services in all promotional materials;
  • All marketing materials must comply with Federal Trade Commission guidelines regarding endorsements and testimonials;
  • Affiliates must clearly disclose their affiliate relationship with the Company in all promotional content;
  • Any misrepresentation of the School's content or services may result in immediate termination from the program.

  • Payment thresholds and schedules;

Affiliates are strictly prohibited from:

  • Promising specific results or outcomes from using the School's materials;
  • Using spam, fraudulent methods, or deceptive practices to promote the School;
  • Violating any applicable laws or regulations in their promotional activities.

14.5. Program Termination

The Company reserves the right to modify, suspend, or terminate the affiliate program or individual affiliate relationships at any time, with or without cause or notice. Any earned but unpaid commissions will be paid according to the regular payment schedule, provided the affiliate has complied with all program terms.

17.5. Guest Content and Appearances

The following provisions apply to guest appearances and content:

  • Guests must agree to these Terms and Conditions before participating in any School content
  • Guests retain ownership of their original content while granting the School a license to use and distribute it
  • Guests must refrain from making medical claims, guarantees, or unauthorized endorsements
  • The School reserves the right to edit, modify, or remove guest content that violates these Terms
  • Guests agree to release the School from any claims related to the use of their content or likeness in accordance with these Terms
